M&A Engagement, Execution and Integration

• Engage

  • Manage the acquisition target pipeline

  • Identify and approach acquisition targets

  • Leverage Cordatus' global network of over 600 investment banks

    • Good relationships with investment banks because we do not compete with them on sell-side

• Execute

  • Quarterback all aspects of transaction

    • Run the entire diligence process (e.g., commercial, legal, tax, accounting, human resources), coordinating with business and functional teams, including leading diligence reviews and internal approvals 

    • Manage diligence expenses and outside advisors (e.g., lawyers, accountants)

    • Negotiate all definitive documents in combination with attorneys (e.g., LOIs, Merger/Share Purchase/Asset Sale Agreements, TSAs, Employment Agreements)

  • Provide templates and process optimization throughout 

• Integrate

  • Manage creation and execution of integration plan

  • Lead integration PMO, coordinate all integration activity, advise on issues arising during integration

  • Lead functional and business teams in preparing and executing integration playbooks

  • Capture and apply lessons learned from integration process
